Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by DawnTech Solutions LLC ("DawnTech," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

DawnTech provides advanced lead generation and online advertising solutions, including:

  • AI-powered lead generation and qualification services
  • Multi-channel advertising campaign management
  • Social network integration and targeting
  • Real-time analytics and performance tracking
  • Consultation and strategy development services

Our services are provided on a qualified-access basis, subject to our review and approval process.

3. Eligibility and Account Requirements

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into these Terms
  • Provide accurate and complete information during our qualification process
  • Maintain the confidentiality of any account credentials provided
  • Meet our minimum budget and business requirements

4. Pricing and Payment Terms

Our services are priced on a per-qualified-lead basis according to the following structure:

  • Social Media Channels: $40 per qualified lead
  • Search & Display Networks: $50 per qualified lead
  • Premium Multi-Channel: $60 per qualified lead

Payment terms and billing cycles will be specified in your service agreement. All fees are non-refundable unless otherwise specified in writing.

5. Lead Qualification Standards

We define a "qualified lead" as a prospect who meets the following criteria:

  • Demonstrates genuine interest in your products or services
  • Meets your specified demographic and firmographic requirements
  • Has provided accurate contact information
  • Has engaged with your advertising content or expressed purchase intent

Lead quality disputes must be reported within 30 days of lead delivery.

6. Client Responsibilities

As a client, you agree to:

  • Provide accurate information about your business and target audience
  • Respond promptly to qualified leads generated through our services
  • Comply with all applicable laws and regulations in your marketing activities
  • Not use our services for illegal, fraudulent, or deceptive purposes
  • Maintain appropriate licenses and permissions for your business activities
  • Provide feedback on lead quality to help improve our services

7. Intellectual Property Rights

DawnTech retains all rights, title, and interest in our proprietary technology, algorithms, and methodologies. You may not:

  • Reverse engineer or attempt to discover our proprietary methods
  • Use our technology for competing services
  • Share or distribute our proprietary information
  • Create derivative works based on our services

8. Data Privacy and Security

We are committed to protecting your data and the data of your prospects. Our data handling practices are governed by our Privacy Policy. By using our services, you acknowledge that:

  • We may collect and process data necessary to provide our services
  • You have appropriate permissions to share prospect data with us
  • We implement industry-standard security measures
  • Data may be processed by our trusted service providers

9. Service Level Agreements

We strive to provide high-quality services and will make reasonable efforts to:

  • Deliver leads within agreed-upon timeframes
  • Maintain service availability of 99.5% or higher
  • Respond to support inquiries within 24 hours
  • Provide regular performance reports and analytics

Service level commitments may vary based on your specific service agreement.

10. Limitation of Liability

To the maximum extent permitted by law, DawnTech's liability for any claims arising from our services shall not exceed the total amount paid by you for services in the 12 months preceding the claim. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or business opportunities
  • Actions taken by prospects or third parties
  • Technical issues beyond our reasonable control

11. Termination

Either party may terminate services with 30 days' written notice. We may terminate services immediately if:

  • You breach these Terms or your service agreement
  • Your account becomes delinquent
  • You engage in fraudulent or illegal activities
  • We determine that continuing services would be harmful to our business

12. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in El Paso, Texas, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any legal proceedings must be brought in the courts of El Paso County, Texas.

14. Changes to Terms

We may modify these Terms at any time by posting updated terms on our website. Continued use of our services after changes constitutes acceptance of the new Terms. Material changes will be communicated via email when possible.
